1. The service

Quote Genius lets contractors create, send, sign and track price quotes, invoices, work orders and project documents, maintain a personal price book, and schedule jobs. Access is granted through a credit balance or an unlimited subscription plan.

2. Your account

You must provide accurate registration and company details and keep them up to date. You are responsible for keeping your credentials confidential and for all activity that occurs under your account.

3. Acceptable use

You must not misuse the service. In particular, you must not:

• use the service for any unlawful purpose or to send fraudulent documents or spam;
• infringe the intellectual property or privacy rights of any third party;
• interfere with the security or integrity of the service, including introducing malware, probing or scanning our systems, or scraping data;
• reverse engineer, resell, redistribute or circumvent technical limits of the service.

4. Your content

You retain ownership of the client data, documents, logos and price lists you upload. You grant us a limited licence to host and process that content solely to provide the service to you. You are responsible for having the rights to any content you upload and for the accuracy and legality of the documents you send to your clients.

5. Intellectual property and licence

We retain all ownership of the service, its software, documentation and branding. We grant you a limited, non-exclusive, non-transferable right to use the service within your selected plan for the duration of your access.

6. Payment and subscription terms

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, applicable taxes, renewals, cancellations and refunds are handled according to Paddle's Buyer Terms. Credit packs are one-time purchases; unlimited plans renew automatically each month or year until cancelled. See our Refund Policy for refund timescales.

7. Service level

We work to keep the service available and reliable, but we do not guarantee uninterrupted or error-free performance. Maintenance, third-party outages and factors outside our control may affect availability.

8. Suspension and termination

We may suspend or terminate access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the service at any time. On termination you may export your documents during a reasonable window, after which your data may be deleted.

9. Warranties and liability

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Our aggregate liability is limited to the fees you paid in the 12 months before the claim. Nothing excludes liability for fraud, death or personal injury where the law does not permit exclusion.

10. Indemnity

You indemnify us against claims arising from your content, your unlawful use of the service, or your breach of these Terms.

11. General

These Terms are governed by the laws of Estonia, and the courts of Estonia have jurisdiction over any dispute. You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control. We may update these Terms and will post the revised version on this page.
